MANAGER, CORPORATE AND LEGAL AFFAIRS

Our client, Rubis Eastern Caribbean SRL, a regional company specialising in the marketing of petroleum products, is seeking a proactive and self-motivated individual to fill the position of Manager, Corporate and Legal Affairs.  The incumbent will report to the Chief Executive Officer and will be based in Barbados at the company’s corporate headquarters. 

The Role 

The Manager, Corporate and Legal Affairs will be responsible for: 

  • Drafting, reviewing legal agreements and legal correspondence.
  • Tracking litigation matters and working with outside counsel in various jurisdictions for the submission of relevant documentation and the preparation/review of pleadings.
  • Acting as the Company Secretary for all Rubis entities in the English and Dutch speaking Caribbean by coordinating all Shareholder and Board Meetings and maintaining the integrity of minutes, Shareholder and Director registers.
  • Coordinating any major restructurings and/or company acquisitions.
  • Ensuring all regulatory filings are submitted and closed timely (including Foreign Currency Permit Applications and Economic Substance Applications, annual returns etc.)
  • Supervising the establishment of new bank accounts and their maintenance by updating key changes e.g. changes to bank signatories, Directors or Officers.
  • Dispatching all foreign currency permits and business/annual licences renewal receipts or certificates to the Company’s bankers, and other stakeholders as necessary.
  • Supervising the administration of contracts for the Sales & Marketing Department.
  • Acting as contact for the external audits of minutes, corporate records and legal agreements.
  • Preparing the Annual Legal Department Budget.
  • Supporting various departments with any corporate requirements. 

The Candidate 

  • The Manager, Corporate and Legal Affairs should:
  •  Possess a Bachelor of Laws Degree (LLB).
  • Be a practising attorney for a minimum of 5 years or a paralegal with a minimum of 7 years’ experience and have experience in corporate secretarial practice.
  • Possess exceptional drafting skills in preparing legal agreements, court pleadings, board and shareholder resolutions and meeting minutes.
  • Be able to work in a fast-paced environment and manage a wide portfolio which spans across the Eastern and Western Caribbean, Guyana, Suriname and Bermuda.
  • Possess written and oral communication, problem solving and time management skills.
  • Be proficient in the use of the various components of Microsoft Office Suite; namely Word, Excel and PowerPoint.
  •  Possess excellent analytical and organisational skills with an eye for detail and accuracy.
  • Demonstrate integrity and confidentiality.
  • Having a designated qualification in corporate governance such as ICSA or a similar designation would be an asset.
