Role:
Reporting to the Senior Counsel, Barbados, the Legal Assistant will be responsible for preparing and reviewing legal documents for completeness and accuracy to support business operations.
Responsibilities:
- Review Non-Disclosure Agreements, including first-level review of engagement letters, broker agreements and terms of business agreements.
- Review and update Administrative Service Agreements.
- Prepare and file Form D in support of US Reinsurance transactions.
- Coordinate departmental signoffs, including across jurisdictions, (Pricing, Marketing, Deal Administration) for the Office of Superintendent of Financial Institutions (OSFI) Treaty process.
- Support contract lifecycle including:
o Contract administration tasks including drafting of contract summaries, reviewing reoccurring transactions against previous iterations and the circulation of document packets or other relevant information.
o Cross-checking documents and formatting to ensure consistent use of terms, clause cross-referencing and identifying typographical errors.
o Contract management/retention.
- Monitor renewal dates, notice periods and obligations by way of diary invite and reminders to legal team and others.
- Provide support for board and governance as required – track board approvals and other internal approvals required for transactions.
- Conduct first level legal research on local law requirements.
- Conduct on-going review of regulatory and legal updates for jurisdictions and circulate as necessary to legal team.
- Maintain legal library, legal tracker reports and best practice memos.
- Review external counsel invoices and track costs and fee estimates.
- Upload and maintain documents on the document management system (iManage) subject to caveat re personal data.
The Candidate
The candidate will possess an eye for detail, a meticulous approach to documentation and the ability to juggle multiple tasks at one time. The Legal Assistant will understand the importance of deadlines and be capable of working under pressure. He/she will possess excellent communication skills (written, verbal and presentation) with the ability to identify and resolve issues as they arise.
The Legal Assistant should possess:
- A university degree with at least two years’ experience in professional, financial or corporate services. A background in legal environment or compliance would be beneficial.
- Excellent MS Office and Adobe skills.
- Attention to detail and is meticulous.
- Strong interpersonal skills with emotional intelligence.
- Professional integrity, strong work ethic and a desire to continue learning.
- The ability to work effectively both independently and as part of a team.
- Strong organizational and time management skills with the ability to work in a fast-paced environment.
- A track record of dependability and professionalis.
